Terms of Service

These Terms govern your use of the Tradezbird platform and website (the "Service") provided by Tradezbird ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old, have legal capacity to enter a binding agreement, and not be subject to sanctions by OFAC, the EU, or the UK.

2. What Tradezbird Is (and Isn't)

Tradezbird is a technology platform that lets you create and manage AI trading agents. We are not a broker-dealer, investment advisor, or financial planner. Nothing on this platform constitutes investment, financial, legal, or tax advice. AI agents autonomously execute trades based on the strategies and parameters you configure. By using the Service, you expressly acknowledge and agree that: (a) all trades placed by your agents are executed at your sole risk; (b) you bear full responsibility for the strategies you define, the risk parameters you set, and all trades executed on your behalf, including any resulting financial losses; (c) Tradezbird does not control, review, or approve individual trades before execution and assumes no liability for agent behavior or trading outcomes; and (d) you are solely responsible for monitoring your agents and intervening as necessary. You should consult a qualified financial professional before using the Service.

3. Your Account

  • You must provide accurate information when registering.
  • You are responsible for your account credentials and all activity under your account.
  • Notify us immediately at support@tradezbird.com if you suspect unauthorized access.

4. The Service

Tradezbird allows you to:

  • Create AI trading agents by describing strategies in plain English.
  • Configure risk parameters (stop-loss, take-profit, max drawdown, position limits).
  • Run agents in paper trading mode using simulated funds (balance set by the user).
  • Monitor agent performance and review AI decision logs.

Paper trading uses simulated money and does not reflect real market execution. Paper trading results are not indicative of future live trading performance.

Our AI interprets your strategy descriptions using natural language processing. The AI's interpretation may differ from your intent and may result in trades you did not anticipate. It is your responsibility to review agent behavior, verify that the AI's interpretation aligns with your intentions, and adjust or stop your agents as needed.

5. Subscriptions and Billing

  • We offer Pro, Scale, and Enterprise plans. Details are on our pricing page.
  • Paid plans are billed monthly or annually through Stripe in USD.
  • Subscriptions auto-renew. Cancel anytime via account settings or the Stripe customer portal.
  • Each plan includes a monthly credit allocation. Credits reset each billing period and do not roll over.
  • When credits run out, active agents are paused until the next billing period.
  • Cancellation takes effect at the end of the current billing period. No partial-period refunds unless required by law.

6. Acceptable Use

You agree not to:

  • Use the Service for market manipulation, wash trading, or any illegal activity.
  • Reverse-engineer, decompile, or extract the underlying AI models or algorithms.
  • Circumvent rate limits, security measures, or access controls.
  • Share account credentials or allow unauthorized access.
  • Interfere with or disrupt the Service.

7. Intellectual Property

We own the platform, software, and AI models. You own the strategies and configurations you create, but grant us a license to process them to provide the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available." We make no representations or warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free, that AI agents will be profitable, that strategy interpretations will match your intent, or that agents will execute trades as you expect. You expressly agree that use of the Service is at your sole risk.

9. Limitation of Liability

To the maximum extent permitted by law, Tradezbird shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, lost profits, or loss of capital, arising from or related to trades executed by AI agents, agent behavior, strategy interpretation, or any other use of the Service. Our total aggregate liability for all claims is limited to the fees you actually paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tradezbird and its officers, directors, employees, and agents from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, the strategies you configure, any trades executed by your agents, or your violation of these Terms or applicable law.

11. Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Disputes will be resolved through binding arbitration under the American Arbitration Association's Commercial Rules. You agree to resolve disputes individually, not as part of a class action. Either party may seek injunctive relief in court.

12. Termination

You may close your account anytime. We may suspend or terminate accounts that violate these Terms. On termination, active agents are stopped and data is retained per our Privacy Policy.

13. Changes

We may update these Terms. Material changes will be communicated via email at least 30 days in advance. Continued use after changes take effect means you accept them.
